Terms of Service

Welcome to Haven, a service provided by Asinc Systems, Inc. ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Haven platform, which provides AI Agents that automate property management tasks including maintenance coordination, scheduling, lead nurturing, tenant communications, and related services (collectively, the "Services").

BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MAY NOT USE THE SERVICES.

1. Eligibility and Account Management

1.1 Eligibility

The Services are intended for use by property management companies and their authorized personnel. You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that:

  • You have the legal capacity to enter into these Terms
  • You are authorized to bind your organization to these Terms
  • Your use of the Services will comply with all applicable laws and regulations

1.2 Account Registration

To access the Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Immediately notify us of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

1.3 User Roles

Accounts may have multiple users with different permission levels (administrators and standard users). The account owner is responsible for:

  • Managing user access and permissions
  • Ensuring all users comply with these Terms
  • All activities performed by sub-users under the account

1.4 Geographic Availability

The Services are currently available only in the United States and Canada. You may not use the Services from any other location or attempt to circumvent geographic restrictions.

2. Use of Services

2.1 Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for legitimate property management purposes in accordance with these Terms and applicable laws.

2.2 Acceptable Use Policy

You agree NOT to:

  • Use the Services for any illegal or unauthorized purpose
  • Violate any applicable federal, state, local, or international law or regulation
  • Transmit any material that is defamatory, offensive, or otherwise objectionable
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Services or servers/networks connected to the Services
  • Attempt to gain unauthorized access to any portion of the Services
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use automated systems or software to extract data from the Services ("scraping")
  • Upload or transmit viruses, malware, or other harmful code
  • Use the Services to send spam or unsolicited communications
  • Harass, abuse, or harm another person or entity
  • Violate the Fair Housing Act or engage in discriminatory practices
  • Resell, sublicense, or redistribute the Services without our written consent
  • Use the Services in any way that could damage our reputation or goodwill
  • Exceed any applicable rate limits or usage quotas

2.3 AI-Generated Content

Our AI Agents generate automated responses and communications on behalf of your organization. You acknowledge that:

  • AI-generated content may contain inaccuracies or errors
  • You are responsible for reviewing and supervising AI communications
  • AI outputs should not replace human judgment in critical decisions
  • You remain liable for all communications sent on your behalf
  • We disclaim all warranties regarding the accuracy or completeness of AI-generated content

2.4 Beta Features

We may offer beta, pilot, or experimental features ("Beta Features"). Beta Features are provided "as-is" without warranties and may be discontinued at any time. Your use of Beta Features may be subject to additional terms.

3. Intellectual Property Rights

3.1 Our Property

The Services, including all software, designs, text, images, logos, and other content, are owned by Asinc Systems, Inc. and protected by intellectual property laws. Except as expressly permitted herein, you may not copy, modify, distribute, or create derivative works based on our intellectual property.

3.2 Your Content

You retain ownership of data and content you submit to the Services ("Customer Content"). By using the Services, you grant us a worldwide, non-exclusive license to use, process, store, and display Customer Content solely to provide the Services to you.

3.3 Feedback

Any suggestions, feedback, or ideas you provide about the Services become our property and may be used without compensation or attribution to you.

4. Data Privacy and Security

4.1 Data Processing

We process your data as described in our Privacy Policy. By using the Services, you consent to such processing and warrant that all data provided is accurate and lawfully obtained.

4.2 Machine Learning

We may use aggregated and de-identified usage data and Customer Content to improve our Services and train our AI models. We will:

  • Apply commercially reasonable de-identification techniques
  • Not use personally identifiable information for model training without consent
  • Maintain appropriate safeguards to protect privacy

4.3 Security Measures

We implement industry-standard security measures including:

  • Encryption of data in transit and at rest
  • Access controls and authentication systems
  • Regular security assessments and monitoring
  • Incident response procedures

However, no system is completely secure, and we cannot guarantee absolute security of your data.

4.4 Data Retention

Following account termination:

  • Customer Content will be deleted within 90 days upon request
  • Backup copies may be retained for up to 30 additional days
  • We may retain de-identified, aggregated data indefinitely
  • Some data may be retained as required by law

4.5 Insurance

We maintain cyber liability insurance coverage to protect against data breaches and security incidents. While we take security seriously, you acknowledge that our liability is limited as set forth in Section 9.

5. Third-Party Services

5.1 Integrations

The Services integrate with third-party platforms including:

  • Property management systems (e.g., Buildium, RentManager, Rentvine)
  • AI/LLM providers (e.g., OpenAI, Anthropic)
  • Communication services

5.2 Third-Party Terms

Your use of third-party services is subject to their respective terms and policies. We are not responsible for:

  • The availability or accuracy of third-party services
  • Any losses resulting from third-party service failures
  • Data shared with third parties through integrations you authorize

5.3 Third-Party Liability

We disclaim all liability for third-party services. You agree to look solely to the third party for any claims related to their services.

6. Fees and Payment

6.1 Pricing

Services are billed monthly in advance. We offer tiered pricing based on portfolio size. Current pricing is available on our website or by contacting sales.

6.2 Payment Terms

  • All fees are due upon receipt of invoice
  • Late payments may incur interest at 1.5% per month or the maximum permitted by law
  • You are responsible for all taxes (except our income taxes)
  • All fees are non-refundable except as expressly stated herein

6.3 Price Changes

We may modify pricing with 90 days' advance notice. Continued use after the notice period constitutes acceptance of new pricing.

6.4 Suspension for Non-Payment

We may suspend or terminate your access for overdue payments after providing 10 days' written notice.

7. Service Level Agreement

7.1 Uptime Commitment

We target 99.9% uptime for the Services, measured monthly, excluding:

  • Scheduled maintenance (with advance notice)
  • Force majeure events
  • Issues caused by third-party services
  • Problems stemming from your equipment or internet connectivity

7.2 Support

We provide customer support:

  • Hours: Monday-Sunday, 10:00 AM - 11:00 PM EST
  • Response times vary based on issue severity
  • Support is provided in English only

7.3 Maintenance

We will provide reasonable advance notice of scheduled maintenance when possible. Emergency maintenance may be performed without notice.

8. Term and Termination

8.1 Term

These Terms begin when you first access the Services and continue month-to-month until terminated.

8.2 Termination by Either Party

Either party may terminate these Terms with 30 days' written notice.

8.3 Termination for Cause

We may terminate or suspend your access immediately if you:

  • Breach these Terms
  • Fail to pay fees when due
  • Engage in conduct we reasonably believe is harmful to us or other users
  • Are subject to bankruptcy or insolvency proceedings

8.4 Effect of Termination

Upon termination:

  • Your access to the Services immediately ceases
  • You must pay all outstanding fees
  • We will delete your Customer Content as described in Section 4.4
  • Sections that by their nature should survive will remain in effect

9. Disclaimers and Limitation of Liability

9.1 Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

(a) IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL

(b) OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM

(c) THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES

(d) SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU

9.3 Exceptions

The limitations above do not apply to liability arising from our gross negligence, willful misconduct, or fraud.

10. Indemnification

You agree to indemnify, defend, and hold harmless Asinc Systems, Inc., its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Content you submit to or transmit through the Services
  • Actions taken by the AI Agents on your behalf

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by Delaware law, without regard to conflict of law principles.

11.2 Arbitration

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in Delaware under the American Arbitration Association's Commercial Arbitration Rules. The arbitrator's decision shall be final and binding.

11.3 Exceptions

Either party may seek injunctive relief in court for:

  • Intellectual property infringement
  • Breach of confidentiality
  • Violations that threaten immediate and irreparable harm

11.4 Class Action Waiver

You waive any right to bring claims on a class, consolidated, or representative basis. Arbitration shall be solely individual.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and us.

12.2 Modifications

We may modify these Terms at any time by posting updated terms. Material changes will be notified via email or Service notification with at least 30 days' notice. Continued use after changes constitutes acceptance.

12.3 Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

12.4 Severability

If any provision is found unenforceable, the remaining provisions shall continue in full effect.

12.5 Waiver

No waiver shall be effective unless in writing. Failure to enforce any provision shall not constitute a waiver.

12.6 Force Majeure

Neither party shall be liable for delays or failures due to causes beyond their reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet service provider failures.

12.7 Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations.

12.8 Government Use

If you are a government entity, additional terms may apply. Contact us for government licensing terms.
